End User License Agreement
This digital download (“Product”) and accompanying documentation is licensed and not sold. This Product is protected by copyright laws and treaties, as well as laws and treaties related to other forms of intellectual property. Tooth Fairy Tonight, LLC or its subsidiaries, affiliates, and suppliers (collectively “Tooth Fairy Tonight”) own intellectual property rights in the Product. The Licensee’s (“you” or “your”) license to download, use, copy, or change the Product is subject to these rights and to all the terms and conditions of this End User License Agreement (“Agreement”).
YOU ACCEPT AND AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT BY SELECTING THE “ACCEPT” OPTION AND DOWNLOADING THE PRODUCT OR BY INSTALLING, USING, OR COPYING THE PRODUCT. YOU MUST AGREE TO ALL OF THE TERMS OF THIS AGREEMENT BEFORE YOU WILL BE ALLOWED TO DOWNLOAD THE PRODUCT. IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS AGREEMENT, YOU MUST SELECT “DECLINE” AND YOU MUST NOT INSTALL, USE, OR COPY THE PRODUCT.
This Agreement entitles you to install and use two copies of each downloaded Product, one on a computer and one on a mobile device. This Agreement does not permit the installation of the Product on more than one computer at any given time, on more than one mobile device at any given time, on a system that allows shared use of applications, on a multi-user network, or on any configuration or system of computers that allows multiple users.
This Product is compatible with specific third party software programs listed below. You agree to have access to one of these programs prior to downloading this Product.
Mobile device: WPS Office for Android (Free), WPS Office for iOS (Free), Microsoft Word®, Office 365®.
PC: Microsoft Word®, Office 365®, WPS Office (Free), WPS Office Premium, WPS Home & Student.
Mac®: WPS Office for Mac® (Free), Microsoft Word®, Office 365®
Cloud Based: WPS Office for Web (Free to use)
LINUX: WPS Office for Linux
You may not use, copy, or install the Product on any system with more than one computer or more than one mobile device. You may not permit the use, copying, or installation of the Product by more than one user, on more than one computer or on more than one mobile device.
After purchase, you will be allowed to download the Product a total of 5 times or for a period of 30 days, whichever comes first.
You may not decompile, “reverse-engineer”, disassemble, or otherwise attempt to derive the source code for the Product.
You may not copy any part of the Product except to the extent that licensed use inherently demands the creation of a temporary copy stored in computer/mobile device memory and not permanently affixed on storage medium.
You may alter the sample text included with the Product and may add your own text to the Product. You may resize the image included with the Product. You may not delete any part of the image or add other images to the Product. You are not allowed to make any other changes including the creation of any derivative work of the Product or its accompanying documentation. Derivative works include but are not limited to translations. You may not alter any files names in any portion of the Product.
Without first obtaining the express written consent of Tooth Fairy Tonight, LLC, you may not assign your rights and obligations under this Agreement, or redistribute, encumber, sell, rent, lease, sub-license, or otherwise transfer your rights to the Product.
UNLESS OTHERWISE EXPLICITLY AGREED TO IN WRITING BY TOOTH FAIRY TONIGHT, TOOTH FAIRY TONIGHT MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, IN FACT OR IN LAW, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OTHER THAN AS SET FORTH IN THIS AGREEMENT.
Tooth Fairy Tonight makes no warranty that the Product will meet your requirements or operate under your specific conditions of use. Tooth Fairy Tonight makes no warranty that operation of the Product will be secure, error free, or free from interruption. YOU MUST DETERMINE WHETHER THE PRODUCT SUFFICIENTLY MEETS YOUR REQUIREMENTS FOR SECURITY AND UNINTERRUPTABILITY. YOU BEAR SOLE RESPONSIBILITY AND ALL LIABILITY FOR ANY LOSS INCURRED DUE TO FAILURE OF THE PRODUCT TO MEET YOUR REQUIREMENTS. TOOTH FAIRY TONIGHT WILL NOT, UNDER ANY CIRCUMSTANCES, BE RESPONSIBLE OR LIABLE FOR THE LOSS OF DATA ON ANY COMPUTER OR INFORMATION STORAGE DEVICE.
UNDER NO CIRCUMSTANCES SHALL TOOTH FAIRY TONIGHT, ITS DIRECTORS, OFFICERS, EMPLOYEES OR AGENTS BE LIABLE TO YOU OR ANY OTHER PARTY FOR INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, PUNITIVE, OR EXEMPLARY DAMAGES OF ANY KIND (INCLUDING LOST REVENUES OR PROFITS OR LOSS OF BUSINESS) RESULTING FROM THIS AGREEMENT, OR FROM THE FURNISHING, PERFORMANCE, INSTALLATION, OR USE OF THE PRODUCT, WHETHER DUE TO A BREACH OF CONTRACT, BREACH OF WARRANTY, OR THE NEGLIGENCE OF TOOTH FAIRY TONIGHT OR ANY OTHER PARTY, EVEN IF TOOTH FAIRY TONIGHT IS ADVISED BEFOREHAND OF THE POSSIBILITY OF SUCH DAMAGES. TO THE EXTENT THAT THE APPLICABLE JURISDICTION LIMITS TOOTH FAIRY TONIGHT’S ABILITY TO DISCLAIM ANY IMPLIED WARRANTIES, THIS DISCLAIMER SHALL BE EFFECTIVE TO THE MAXIMUM EXTENT PERMITTED.
Your remedy for a breach of this Agreement or of any warranty included in this Agreement is the correction or replacement of the Product. Selection of whether to correct or replace shall be solely at the discretion of Tooth Fairy Tonight. Tooth Fairy Tonight reserves the right to substitute a functionally equivalent copy of the Product as a replacement. If Tooth Fairy Tonight is unable to provide a replacement or substitute Product or corrections to the Product, your sole alternate remedy shall be a refund of the purchase price for the Product.
Any claim must be made within the applicable period of 7 days from date and time of Product purchase. All requests must cover only defects arising under normal use and do not include malfunctions or failure resulting from misuse, abuse, neglect, alteration, problems with electrical power, acts of nature, unusual temperatures or humidity, improper installation, or damage determined by Tooth Fairy Tonight to have been caused by you. All requests about the Product are granted only to you and are non-transferable. You agree to indemnify and hold Tooth Fairy Tonight harmless from all claims, judgments, liabilities, expenses, or costs arising from your breach of this Agreement and/or acts or omissions.
This Agreement is governed by the laws of Indiana, without regard to Indiana’s conflict or choice of law provisions. You agree that the statutes and laws of Indiana will apply to all matters relating to the license, download and use of the Product.
Furthermore, any action to enforce this Agreement shall be brought in the federal or state courts located in Indianapolis, IN, USA. You hereby agree to personal jurisdiction by such courts, and waive any jurisdictional, venue, or inconvenient forum objections to such courts.
If any provision of this Agreement shall be held to be invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect. To the extent any express or implied restrictions are not permitted by applicable laws, these express or implied restrictions shall remain in force and effect to the maximum extent permitted by such applicable laws.
